Service Agreement

ICON Platform Service Agreement
Welcome to the ICON platform!

Before accepting the Agreement, you must carefully read all the contents of the agreement and know its terms, especially the clauses or restrictive exceptionsRestrictive clauses or exceptions are in bold or otherwise highlighted to draw your attention.If in doubt about the terms of the Agreement, please contact ICON 's commercial departmentYou are not allowed to use the service before you have read and accepted all the terms of the Agreement, the relevant agreements and rules, etc.

Once you select"accept and submit the agreement"(see the registration page for details) and complete the registration procedure, or if you use the service in any way, it will be considered for all the inherent legal effects that you have read, understood and accepted the restriction of the Agreement and the above rulesIn the event of a breach of the agreement, ICON has the right to unilaterally restrict, suspend or terminate the service to you, and has the right to investigate your relevant liabilities.

The Service Agreement (hereinafter referred to as “the Agreement”) is signed by you and ICON (hereinafter referred to as “ ICON ”).Includes (but is not limited to) the ICON Platform privacy policy and other contentIn the event of a change, ICON will announce such change on its official website without further notice.

After the announcement, the agreement and the modified rules become part of the agreement automatically, without further notification for your consent.In case of objection to such relevant changes, stop using the ICON service; if you continue to use it, you will be deemed to have no objection to the changed rules and agree to abide by them.

I) Definitions of terms

1·1 The licensed software refers to the software system developed by ICON , downloaded from the platform, and installed and applied on mobile terminals of the specified system.

1 2 Services refer to the services provided to you by ICONYou can use such services on the mobile terminal with the licensed software.

II) Service

2 1 ICON provides you with smart life equipment management services, according to which you can access the smart terminal on the cloud smart life platform through smart life control, and realize interconnection between smart equipmentService content includes intelligent equipment management, scene link and analysis report, etc.Such functions may be optimized or modified according to changes in user demands or service provider's judgment, and service provision may be suspended due to regular and irregular maintenance.

III)Scope of service

3·1 ICON grants you the right to use the product based on this software.

3·2 You are prohibited from licensing, selling, leasing, transferring and in any way negotiating the product or using it for purposes other than those set forth herein.Due to the limitations of the software adaptation platform and terminals, you may only use the licensed software on the authorized system platform and terminal; If you install the licensed software on other terminal equipment, it may damage the hardware or software function.

3 3 You acknowledge that the Licensed Software may only be used for non-commercial purposes and that the installation, application and execution of the Licensed Software are prohibited.If such business operation is necessary, prior written authorization and permission from ICON must be obtained.

3 4 ICON may change, update or transfer the Licensed Software or relevant functions from time to time, and may add new functions or services in the Licensed Software SystemIf there are no separate agreements accompanying the new features or services listed above, you are entitled to the corresponding features and services, which are also subject to the agreement.

3 5 You will be responsible for the accuracy, reliability, integrity and legality of the input data and the legality of the way you obtain the data, and you will make backup copies of the data and information from time to timeYou shall bear all risk of damage and loss of such information.

3 6 You must properly keep your account number and passwordIn the event of a security breach in your account (including, but not limited to, disclosure of the user's password), you must notify ICON in a timely manner, and ICON will assist you in taking appropriate action.Otherwise, you will assume all conduct related to your account and assume all responsibilities**

IV) A third party

4 1 You acknowledge that certain ICON service is based on software or services provided by a third partySuch service is configured to facilitate your request and the necessary legal authorization is obtained from a third party.

4·2 The product includes certain information and services of the third party. ICON does not control and is not responsible for the information and services of third parties.

4 3 You acknowledge that ICON cannot guarantee that the licensed software will always use or contain such services, or that other software provided by the same third party will be used in the futureYou can also use similar services provided by third partiesUpon request, the corresponding software or services mentioned are subject to this agreement.

V)Standard Service Application

5 1 You must use the licensed software in a normal mannerThe following forms violate the application standard:

1) Issue or share computer viruses, worms, malicious code or software that deliberately damages or changes the computer system or data;

2) Collect information or data from other users without authorization, for example, email address and the like;

3) Maliciously use the product automatically, causing server overload, or interfere with or damage the web server and network links in other ways.

4) Attempting to visit the server data or communication data of the product without authorization;

5) Interfere with or damage the production application by other users.

5 2 You understand and agree that:

1) ICON will determine whether or not you are involved in the violation of the above standards, and will suspend or terminate your application license based on the results of the determination or take other restrictions based on the agreements.

2) ICON will directly delete the information that violates the laws, or infringes the legal rights of others, or violates the agreement issued by you when using the licensed software.

3) If a third party suffers damages due to your failure to comply with the application standards, you must independently assume legal responsibility on your behalf, and protect and indemnify ICON from additional losses or expenses generated by the sameOtherwise, ICON is entitled to claim compensation.

4) If ICON suffers a loss due to your failure to comply with the relevant laws or the agreement, you must compensate ICON for the losses and (or) expenses generated by it.

VI) Information content standard

6·1 You promise that you will not engage in any act that violates the laws or improper behavior when using the service; such act and behavior include (but is not limited to):

6 1 1 Upload, transfer or share information that contains one of the following contents:

1) Oppose the basic principles established in the Constitution;

2) Endanger state security, reveal state secret, subvert state power, and sabotage state unity;

3) Damage the honor and benefit of the state;

4) Incite national hatred and discrimination and sabotage national unity;

5) Destroy the religious policy of the state and advocate heresy and feudalist superstition;

6) Spread rumours, disrupt social order and destroy social stability;

7) Spread obscenity, pornography, gambling, violence, murder and terror or incite crime;

8) Insult or slander others and infringe the legal rights and interests of others;

9) Content with apocryphal or simulated information, deception, fraud, damage, threat, violation of privacy, harassment, infringement, slander, rudeness, indecency or morally repulsive content of others;

10) Contain other content restricted or prohibited by Chinese laws, regulations, rules, provisions and other legal norms.

VII)Private policy and data

7·1 It is crucial for ICON to protect your personal information. ICON prepares the privacy policy of the ICON Platform , in which the contents related to the ownership and protection of intellectual property, collection, use, distribution, storage and protection, etc. are disclosed.of your informationWe suggest that you carefully read the privacy policy of the ICON platform.

VIII) Exception clauses

8 1 Unless otherwise specified in laws and regulations, ICON will use its best efforts to ensure the security, validity, accuracy, and reliability of the Licensed Software and the technologies and information involved, but ICON cannot guarantee the same due to the restriction of the technologies available today.

8·2 You understand that ICON shall not be liable for any direct or indirect loss caused by force majeure or non-compliance by a third party.

8·3 You will be responsible for personal or incidental or indirect injuries caused by or related to one of the following accidents:

1) A third party uses the licensed software or changes its data without permission;

2) Expenses and losses produced by the use of the licensed software;

3) Your misunderstanding of the licensed software;

4) Other losses related to the licensed software caused by reasons not attributable to ICON .

8 4 Any software derived from licensed software not developed and released by ICON or the development and release is not licensed by ICON is illegal softwareDownloading, installing and using such software may cause unpredictable risks. ICON will be free from legal responsibilities and disputes generated in it, and ICON will have the right to suspend or cancel the license of the application and/or any other services.

8 5 You have been informed that the use of the ICON Platform involves the Internet service, which may be affected by unstable factors in all linksAlthough ICON has taken safeguard measures, the service may be suspended, terminated, delayed, suffered by application restriction or application failure due to inherent defects of the Internet and electronic communication, as well as factors beyond beyond the reasonable control of either party to the agreement (including but not limited to fire, flood, terrorist attack, pestilence, natural disaster, riot, terminal virus, hacker attack, network failure, and terminal failure)You hereby agree to bear the above risks and agree that ICON bears no liability when the normal performance of the services is influenced by the occurrence of the above risks.

IX) Termination of contract and breach of agreement

9·1 You must understand that you must use the licensed software in accordance with the scope of the authorization, respect the intellectual property of the software and the contents within the software, and comply with the obligations in accordance with the agreement when using the ICON services. ICON will terminate the application license if it is found to be in material breach of the agreement.

9·2 Your software application relies on support services provided by ICON related companiesFailure to comply with the terms, agreements, rules, announcements and other relevant regulations of ICON and its related companies may cause failure in the normal use of the licensed software, in which case ICON shall have the right to terminate the application license, or take actions to restrict your application license or other rights and interests controlled by ICON as agreed to in the agreement, including suspension or termination of your application license.

9 3 In case of breach of the agreement or other agreements signed with ICON , ICON will have the right to notify the related companies, requiring them to take measures restricting their rights and interests, including the obligation to suspend or cancel the supply of the companies relatedFull or partial services to you, and legally advertise your breach according to the websites they run or actually control.

9·4 The licensed software is downloaded from the download platform and you shall comply with the stipulations of the download platform, system platform and terminal manufacture in the application forms and restrictions of the licensed softwareIf the aforementioned third party confirms that you are in breach of the agreement and treatment by ICON is required, ICON may terminate your application license at the request of the third party.

9·5 When the application license ends, you must stop using the licensed software and destroy all copies.

9·6 You must bear all compensation responsibilities if ICON and other users suffer losses caused by non-compliance with the terms of the agreement.
